Translation of the Allgemeine Geschäftsbedingungen. The German version is the legally binding one.
These terms apply to Leitvia Pro and the customer account on leitvia.com. The Leitvia theme and the Leitvia Studio plugin stay free under the GPL; these terms cover the services we provide for a fee on top of them.
Section 1 Provider and scope
(1) The provider and your contracting party is MSRV Hosting und Service GbR (CMS ADMINS), represented by the partners Patrick Schlesinger and Peter Laschtowitz, Parkstraße 19, 80339 München, Germany, phone +49-89-21550588-8, email support@cms-admins.de, VAT ID DE286406472 (“we”).
(2) These terms apply to all contracts for Leitvia Pro, industry kits and the customer account on leitvia.com concluded through the website leitvia.com. They apply to consumers and businesses (“customer”). A consumer is any natural person who concludes the contract for purposes that are predominantly outside their trade, business or profession (section 13 German Civil Code, BGB). A business is any natural or legal person or partnership with legal capacity acting in the exercise of its trade, business or profession (section 14 BGB).
(3) Conflicting terms of the customer do not apply, even if we do not object to them expressly. The Enterprise plan is governed by a separate written contract; these terms apply there only where that contract refers to them.
(4) The contract languages are German and English. The German version prevails.
Section 2 Definitions
- Leitvia: the Leitvia theme and the Leitvia Studio plugin, free of charge under the GNU General Public License, version 2 or later (GPL).
- Leitvia Pro: the Leitvia Pro plugin with Pro blocks, industry kits and hub connector, plus the related services: download and updates, customer account with team, saved design systems and team library, fleet sync, white label and support, depending on the plan.
- Plan: Pro Solo, Pro Agency or Pro Agency Unlimited, each as a subscription.
- Site: a WordPress website with its own address on which Leitvia Pro is activated with the customer’s access key.
- Access key: the key from the customer account that activates Leitvia Pro on a site. It is the licence for the services.
- Person: the customer and every user who belongs to the customer’s team with their own customer account.
- Team: the people who work together through the customer’s account. The customer is the owner of the team; the plan and the access key of the team belong to their account. The customer invites people by email and gives them the role admin or member. An invitation is valid for 7 days and can only be accepted with a customer account of the same email address. People and open invitations together must not exceed the number of people of the plan.
- Design system: a file of design tokens in the DTCG format, as exported by Leitvia Studio, which a person of the team stores in the customer account. Each uploaded file is a version of its own that is not changed afterwards. All design systems of a team form its team library, which every person of the team can see.
- Hub connector: the feature of Leitvia Pro with which a site subscribes to a design system from the team library. The site fetches the version released for it, checks our signature and takes over the tokens through Leitvia Studio; the settings of the site decide whether the change goes live at once or waits as a change package.
- Fleet sync: releasing a version of a design system to chosen sites of the team on the account page “Fleet”, also step by step, for example to one site first and to the others later. Rolling back means releasing an earlier version again. A site stays on its version until the team releases another one.
- Industry kit: a package for one line of business with token set, content model, pages and sample content, which Leitvia Pro brings as a recipe for Leitvia Studio. A kit can only be applied while it is unlocked for the account.
- White label: in Pro Agency Unlimited, a name, a logo and a support link of the customer’s own, which Leitvia Studio shows on the site instead of Leitvia while the licence is active.
Section 3 Services and GPL
(1) The scope of a plan follows from the service description on leitvia.com/pricing at the time of the order and from these terms. The plan limits are:
- Pro Solo: 3 sites, 1 person, one industry kit of your choice, which the customer sets in the customer account; more kits at extra cost, each as a yearly subscription of its own. Within 14 days of the first choice the customer can switch the kit once with immediate effect; after that, another kit marked in the customer account applies only from the next renewal of the subscription. From the switch on, the previous kit is no longer unlocked; content already applied stays under section 14.
- Pro Agency: 50 sites, 5 people, all industry kits.
- Pro Agency Unlimited: no fixed number of sites within the fair use limit of section 11, 15 people, all industry kits, white label. This plan is only available yearly.
(2) The program code of Leitvia and Leitvia Pro and the industry kits are licensed under the GPL. The rights under the GPL to the code the customer has received are not affected by these terms and do not end with the subscription. The subject of the contract is the services: provision and updates of Leitvia Pro, access key, customer account with team and team library, hub connector, fleet sync, unlocking of industry kits, white label depending on the plan, and support.
(3) The trademarks and logos of Leitvia and CMS ADMINS are not covered by the GPL. The customer must not use them in a way that makes their own offer appear to be ours.
(4) A free customer account without a plan (Free) is provided free of charge. There is no claim to its features; we may change or discontinue them.
(5) Storing design systems and uploading new versions, fetching design systems through the hub connector and releasing versions through fleet sync require a paid plan of the team. Without a paid plan the team still sees its stored design systems and can download them. Fleet sync is operated by the owner and the admins of the team.
(6) AI features are not part of the plans. We may offer a hosted AI service billed by usage in the future; it requires a separate agreement. Until then, the provisions of these terms on AI features do not apply.
Section 4 Customer account
(1) A customer account on leitvia.com is required to buy. The information must be true and complete; the email address is verified with a confirmation link.
(2) The customer keeps their password and access key secret. If there is reason to suspect that third parties know them, the customer creates a new access key in the account; the old key stops working immediately.
(3) The customer can delete their account at any time in the account. A running subscription ends with it immediately. We point this out before the deletion. Claims under section 7 (4) and section 9 remain unaffected.
Section 5 Conclusion of the contract
(1) The presentation of the plans on leitvia.com is not a binding offer but an invitation to order.
(2) In the customer account, the customer chooses the plan and billing period, enters the billing address and, if available, the VAT ID, accepts these terms and, where applicable, confirms the start of performance under section 21. The customer is then taken to the payment step of our payment service provider Stripe. Until the last click there, the customer can check and correct their entries with the browser’s back function or the cancel link.
(3) By clicking the button for an order with obligation to pay in the payment step, the customer makes a binding offer. The contract is concluded when we activate the plan in the customer account or confirm the order by email, whichever comes first.
(4) We store the order data and the version of these terms the customer accepted. The current version is on this page; invoices are in the customer account. The customer can print or save this page.
Section 6 Prices and payment
(1) The prices at the time of the order apply. All prices are final prices in euro including statutory VAT. Businesses from other EU member states with a valid VAT ID and customers outside the EU pay the same amount without VAT; businesses in the EU owe the tax under the reverse charge procedure.
(2) The fee is payable in advance for each billing period. Payment is processed by Stripe Payments Europe, Ltd. with the payment methods offered in the payment step. The customer authorises us to collect the subsequent amounts of a subscription from the stored payment method.
(3) The price of a subscription stays the same as long as it runs without interruption. Price changes only apply to new orders.
(4) Launch discount: in the first 60 days after the customer account on leitvia.com opens, a discount code gives 30% off the first yearly amount of a yearly plan. The discount applies once per customer, not to monthly plans, not to renewals, and cannot be combined with other discounts.
(5) If a payment fails, Stripe retries the collection. The plan remains usable until the end of the paid period and for 7 more days. If payment is still not made, the plan ends and the account falls back to Free. Other statutory rights remain unaffected.
(6) We provide invoices electronically in the customer account.
Section 7 Term, renewal and plan changes
(1) Monthly plans run for one month and renew for another month each time unless cancelled before the end of the current month.
(2) Yearly plans run for one year from the conclusion of the contract. For businesses they renew for another year each time unless cancelled before the end of the current term.
(3) For consumers, a yearly plan continues for an indefinite period after the first year. The consumer can then cancel it at any time with one month’s notice. We continue to collect the yearly amount in advance each year.
(4) If a consumer cancels under paragraph 3 before the end of a year already paid for, we refund the share of the yearly amount attributable to the time after the cancellation takes effect, calculated to the day, within 14 days via the original payment method.
(5) Plan changes in the customer account: a change to a larger plan takes effect immediately; the remaining value of the previous plan is credited pro rata. A change to a smaller plan or from yearly to monthly billing takes effect at the end of the current billing period.
Section 8 Cancellation
(1) The customer can cancel any subscription:
- in the customer account under “Manage billing”,
- on the page Cancel contracts here, which can be reached without logging in and is linked in the footer of every page (section 312k BGB), or
- in text form, for example by email to support@cms-admins.de.
(2) A cancellation takes effect at the end of the current billing period, for consumers after the first year of a yearly plan with the notice period of section 7 (3). We confirm every cancellation without delay in text form, stating the date and the time the contract ends.
(3) We can cancel a subscription with one month’s notice to the end of the current billing period.
(4) The right of both parties to terminate for good cause remains unaffected. Good cause for us exists in particular if the customer breaches section 11, 12 or 16 despite a warning.
(5) After a subscription ends, all sites keep working. Updates, fleet sync, AI features and the Pro features of the customer account pause. We do not delete data stored in the customer account because the contract ended; the customer can delete their account themselves at any time.
Section 9 Money-back guarantee
(1) Independently of the statutory right of withdrawal, we voluntarily give a money-back guarantee: anyone who wants their money back within 14 days of buying a plan or industry kit gets the amount paid refunded in full, without giving a reason.
(2) An informal message to support@cms-admins.de or a cancellation on Cancel contracts here asking for a refund is enough. With the refund, the plan ends immediately.
(3) The guarantee applies to the first purchase of a plan or kit, not to renewals.
Section 10 Licence scope, sites and people
(1) The customer may activate Leitvia Pro with their access key on as many sites as their plan allows and use it with as many people as their plan provides.
(2) Every site counts separately. In a WordPress multisite network, each site of the network counts as one site, even if the network is a single installation. Test, staging and development installations count as well while Leitvia Pro is activated there with the access key.
(3) If the customer deactivates Leitvia Pro on a site, the slot becomes free again.
(4) Agencies and freelancers may use Leitvia Pro for sites of their own clients that they build or maintain themselves. These sites count towards the agency’s plan.
Section 11 Fair use and activation limit
(1) Pro Agency Unlimited is meant for agencies that run many of their own or managed sites. The fair use limit is 800 sites activated at the same time. The limit is technically enforced; the service refuses further activations. Customers who need more sites receive an Enterprise offer.
(2) On monthly plans, at most 50 new site activations per calendar month are possible. Activating again on a site that has already been counted is not a new activation.
(3) The customer must not circumvent technical limits, quotas or counts, for example with several accounts for the same organisation or by passing the access key on to third parties.
Section 12 Transfer and resale
(1) The access key and the services are bound to the customer. The customer must not transfer, rent out or sublicense them to third parties.
(2) Providing or reselling Leitvia Pro to third parties as a product of one’s own is only allowed with an Enterprise contract. This applies in particular to:
- hosting packages or website builders that offer Leitvia Pro to end customers as part of the package,
- reselling access or licences, also under one’s own brand (white label),
- platforms on which third parties create sites with Leitvia Pro themselves.
(3) White label in Pro Agency Unlimited allows showing Leitvia Pro without our brand on sites of one’s own clients. It does not allow resale under paragraph 2.
(4) The rights under the GPL according to section 3 (2) remain unaffected. Passing on the code does not pass on access to our services.
Section 13 AI features
(1) The quota of AI generations applies per calendar month. Unused generations expire at the end of the month and are not carried over.
(2) In addition, a fixed monthly cost limit for AI applies to each account. When the quota or the cost limit is reached, only the AI feature pauses until the first day of the next month. All other features keep working.
(3) AI results are produced by a language model. They can be wrong. The customer checks them before publishing, in particular for accessibility, third-party rights and accuracy.
(4) The customer does not enter content into the AI for which they lack the necessary rights, and no personal data of third parties that is not needed for the request.
Section 14 Industry kits and content after expiry
(1) Industry kits are licensed under the GPL. What the customer installed on their sites during the term stays there and may still be used after the subscription ends.
(2) Updates to existing kits and new kits are only available with a running subscription.
Section 15 Availability and support
(1) We operate the customer account, the update service and the AI feature with due care on our own infrastructure in the EU. We only commit to a specific availability in an Enterprise contract. Where possible, we announce maintenance in advance in the customer account. An outage of the service does not affect the customer’s sites; they keep running without a connection to our servers.
(2) Support is available by email to support@cms-admins.de on working days (Monday to Friday, excluding public holidays in Bavaria):
- Pro Solo and Pro Agency: support with installation, setup and errors of Leitvia Pro, without a committed response time.
- Pro Agency Unlimited: priority support with an answer on the next working day.
- Enterprise: as agreed in the contract.
(3) Support does not include design, programming or review of the customer’s sites. We offer such services separately on request.
Section 16 Duties of the customer
- The customer uses the services lawfully only and not for content that infringes third-party rights.
- The customer does not attack the services, does not circumvent protective measures such as rate limits and does not query them automatically beyond the intended extent.
- The customer secures their sites themselves and installs security updates promptly.
- The customer is responsible for the content and data protection of their sites.
Section 17 Rights in case of defects
(1) The statutory rights in case of defects apply. For consumers, the provisions on digital products apply (sections 327 et seq. BGB); during the term we provide the updates needed to keep the product in conformity with the contract.
(2) Towards businesses, claims for defects become time-barred one year after provision, except in cases of intent, fraudulent concealment and the cases of section 18 (1).
Section 18 Liability
(1) We are liable without limitation for intent and gross negligence, for injury to life, body or health, under the German Product Liability Act and where we have given a guarantee.
(2) In the case of simple negligence, we are only liable for breach of an essential contractual obligation, meaning an obligation whose fulfilment makes the proper performance of the contract possible in the first place and on whose fulfilment the customer may regularly rely. Liability is then limited to the typical, foreseeable damage.
(3) For loss of data we are only liable up to the effort that would have been needed to restore it if the customer had backed up their data regularly.
(4) For the free plan and the free code under the GPL we are only liable for intent, gross negligence and under paragraph 1; otherwise the disclaimer of warranty of the GPL applies to the extent permitted by law.
(5) These rules also apply to our employees, representatives and vicarious agents.
Section 19 Data protection
(1) How we process personal data is described in the privacy policy.
(2) If we process personal data on behalf of a business, we conclude a data processing agreement under Article 28 GDPR beforehand.
Section 20 Changes to these terms
(1) We may change these terms for future orders at any time. For running subscriptions, we announce changes in text form at least six weeks before they take effect.
(2) For running subscriptions, changed terms only apply if the customer agrees. If the customer does not agree, the contract continues on the previous terms; the right to cancel under section 8 (3) remains unaffected.
Section 21 Right of withdrawal for consumers
(1) Consumers have a right of withdrawal. Details are in the withdrawal policy.
(2) In the payment step, the consumer can request that we start performance before the withdrawal period ends. In doing so, the consumer confirms that they lose their right of withdrawal for the digital content once performance has started (section 356 (5) BGB). For the services, the consumer owes compensation for the services provided up to the withdrawal (section 357a (2) BGB).
(3) The voluntary money-back guarantee of section 9 applies in addition, unchanged.
Section 22 Dispute resolution
We are neither willing nor obliged to take part in dispute resolution proceedings before a consumer arbitration board. The former online dispute resolution platform of the European Commission was discontinued on 20 July 2025.
Section 23 Final provisions
(1) The law of the Federal Republic of Germany applies, excluding the UN Convention on Contracts for the International Sale of Goods. For consumers, this choice of law only applies insofar as it does not deprive them of the protection of mandatory provisions of the country in which they have their habitual residence.
(2) The place of jurisdiction for all disputes arising from this contract is Munich if the customer is a merchant, a legal entity under public law or a special fund under public law, or has no general place of jurisdiction in Germany.
(3) If individual provisions are invalid, the rest of the contract remains valid. The statutory provision takes the place of the invalid one.
